Welcome to XodeacTech. These Terms govern your use of our website and our engagement in professional software engineering services. Please read them carefully.
1. Acceptance of Terms
By accessing the XodeacTech website or utilizing our professional services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Professional Services
XodeacTech provides software engineering, AI integration, and digital product consulting. All project-based services are governed by a separate Statement of Work (SOW) or Service Level Agreement (SLA) which outlines specific deliverables, timelines, and payment schedules.
3. Intellectual Property
Unless otherwise specified in a signed SOW, all custom code and digital assets developed specifically for a client remain the property of the client upon full payment of all fees. XodeacTech retains ownership of any pre-existing "Background Technology," proprietary frameworks, or open-source components used during development.
4. Confidentiality
Both parties agree to maintain the strict confidentiality of all proprietary information, including but not limited to business logic, trade secrets, and internal data accessed during the term of engagement.
5. AI & Automation Disclaimer
For services involving Large Language Models (LLMs) or AI integrations, XodeacTech does not guarantee specific accuracy rates or outputs of the third-party models (e.g., OpenAI, Anthropic). We are not liable for hallucinations or unintended data outputs generated by external AI APIs.
6. Limitation of Liability
To the maximum extent permitted by law, XodeacTech shall not be liable for any indirect, incidental, or consequential damages resulting from service interruptions, data loss, or the performance of developed software beyond the scope of our 30-day post-launch support.
